1. About these Terms
Summary: These Terms are the contract between you and Endorr for using our software.
1.1 These Terms of Service ("Terms") govern your use of Endorr's websites, web apps, desktop apps, APIs and related services (together, the "Services"). They form a contract between you and Endorr.
1.2 The Services currently include:
- Endorr Studio, the web workspace where you manage files, tools, organisations and billing;
- FileFixxr, for file checks (preflight) and automatic file repairs;
- PixlPilot AI, for image enhancement such as upscaling, clean-up, vectorisation and background removal, available in Endorr Studio and as an API ("PixlPilot API");
- PwrMockup, for product mockups;
- PrintReadySheets, for gang-sheet layout and imposition, offered as an add-on;
- Endorr Cloud, for file storage, versions and share links, including the Endorr Cloud for Windows app.
1.3 By creating an account, ticking the box to accept these Terms, or using the Services, you agree to these Terms. If you use the Services for an organisation, you confirm that you are authorised to accept these Terms on its behalf. In that case "you" also means that organisation.
1.4 Our Privacy Policy (https://endorr.com/privacy) explains how we handle personal data. Our Acceptable Use Policy (https://endorr.com/aup, the "AUP") is part of these Terms and sets out what you may not upload, create, share or do with the Services. Business customers can also enter into our Data Processing Agreement ("DPA", https://endorr.com/dpa). Some Services have additional terms, for example the PixlPilot API Terms (https://endorr.com/api-terms). If additional terms conflict with these Terms, the additional terms apply to that Service.
2. Who can use Endorr
Summary: You must be at least 16. Different rules apply to consumers and to business customers.
2.1 Minimum age. You must be at least 16 years old to create an account or use the Services.
2.1A Users under 18. If you are 16 or 17, you may use Studio Free. You may only buy a paid plan, seats or tokens with the permission of your parent or guardian, and we may ask for confirmation of that permission. We may cancel a purchase made without it and refund the amount paid.
2.1B Schools and educational institutions. Pupils or students may use Endorr through their school or institution only under a separate agreement between Endorr and that institution. Under that agreement the institution is responsible for its users' accounts and for any consents needed.
2.2 Consumers and business customers. A "consumer" is a person acting for purposes outside their trade, business, craft or profession. A "business customer" is anyone else, including a sole trader or freelancer using the Services for work. We treat you as a consumer unless you tell us you are acting for a business: at checkout (by entering a company name, with or without a VAT ID) or by creating a business organisation. Please tell us accurately. Some sections of these Terms apply only to consumers or only to business customers, as stated.
2.3 Consumer rights. If you are a consumer, nothing in these Terms limits the rights you have under mandatory consumer law in the country where you live.
3. Your account and organisations
Summary: Keep your login safe. Organisation admins control the organisation's files, seats and billing.
3.1 Account. Your account is for one person. Keep your login details confidential and your account information up to date, and tell us without delay if you think your account has been misused.
3.2 Organisations and seats. Plans belong to an organisation, which can be a personal workspace or a business organisation. Each plan includes a set number of seats. Owners and admins of an organisation can invite and remove members, manage folders and permissions, buy tokens and change the plan. They can also access, share, move or delete the organisation's files.
3.3 Leaving an organisation. If you are removed from an organisation, you lose access to its files. Files you uploaded to the organisation stay with the organisation.
3.4 Deleting your account. You can delete your account in Endorr Studio. If you are the only owner of a shared organisation, you must first transfer ownership or delete that organisation.
4. The Services
Summary: What the Services do, where your files are stored, and how we change things.
4.1 What we provide. We provide software tools that help you prepare, check, improve, present and store artwork and print files. Endorr does not print anything. Endorr is a file-preparation tool, not a print service or a proofing service (see section 7).
4.2 Storage types. Files you upload are either:
- Kept: stored in Endorr Cloud and counted against your plan's storage allowance until you delete them; or
- Temporary: stored for 30 days and then deleted automatically.
4.3 Storage region. By default, we store databases and files in the European Union. Organisation owners can choose the United States region when they create an organisation. To move an existing organisation between regions, contact support. Our Privacy Policy explains how data is handled in each region.
4.4 Availability and changes. We work to keep the Services available and secure, but we do not promise uninterrupted availability. We may improve, change or remove features. If a change materially reduces a paid feature you are using, we will tell you in advance where reasonably possible, and you may cancel (see section 13).
4.5 Beta features. Features marked "beta", "preview" or similar may be less reliable and may change or be withdrawn. For business customers, beta features are provided "as is" and are excluded from any service commitments. Consumers keep their statutory rights.
5. Your content
Summary: Your files stay yours. We only use them to run the Services for you. We never take a permanent licence.
5.1 Your content. "Your Content" means files, artwork, text, images and other material you upload, import or create with the Services. This includes the results produced by our tools from your files ("Outputs").
5.2 Ownership. As between you and Endorr, you keep all rights in Your Content. We do not claim ownership of it.
5.3 Our limited licence. You give Endorr a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, analyse, convert and create derivative versions of Your Content. This licence is given only to the extent needed to provide the Services you use. Examples include:
- running a preflight check or file repair;
- upscaling an image or removing its background at your request;
- making thumbnails and previews;
- placing artwork on a mockup or a gang sheet;
- keeping versions; and
- delivering files to people you share them with.
We may let our service providers (sub-processors) do these things on our behalf, under confidentiality and data-protection obligations. This licence does not allow us to:
- use Your Content to market or promote Endorr without your separate permission;
- sell Your Content; or
- use Your Content to train AI models, except with your opt-in consent under section 6.
5.4 How long the licence lasts. The licence ends when Your Content is deleted from the Services, subject to the deletion timelines in section 18 and our Privacy Policy. For content you share by link, the licence covers that content only while the link is active. Nothing in these Terms gives Endorr a perpetual or irrevocable licence to Your Content.
5.5 Your responsibilities for content. You confirm that you own Your Content, or have all the rights, licences and permissions needed to upload it and have it processed under these Terms. This includes artwork you receive from your own clients or other third parties. If Your Content contains personal data of other people, you are responsible for having a lawful basis to share it with us.
5.6 Sharing. If you create a share link, anyone who has the link can view and download the shared content until the link expires or you turn it off. Share links expire after 7 days by default, and you can change this. Share links are currently not password-protected. Do not share confidential material by link if that is not appropriate.
5.7 Feedback. If you send us ideas or suggestions about the Services, we may use them without any obligation to you. This does not cover Your Content.
6. AI features and model training
Summary: Our AI runs on our own models. We train models on your files only if you opt in, and you can change your mind at any time.
6.1 Our AI models. PixlPilot AI, FileFixxr and other AI-powered features run on Endorr's own proprietary models. We do not send Your Content to third-party AI providers.
6.2 No training without your opt-in. We do not use Your Content to train, test or improve our AI models unless you have opted in ("AI training consent"). If you don't opt in, the Services work exactly the same for you.
6.3 How AI training consent works.
(a) You can opt in with an unticked checkbox at sign-up, or later in Settings. Opting in is never required to use the Services.
(b) Consent applies only to files uploaded while consent is switched on.
(c) You can withdraw consent at any time in Settings. From then on, we will not use files you upload, or files already collected under your consent, for future training, and we remove the files collected under your consent from our training datasets within 4 weeks. We are not required to retrain or delete models that were already trained before you withdrew.
(d) We keep a record of when consent was given and withdrawn.
(e) For organisations on Enterprise or Custom plans, AI training consent is off by default. Only an organisation admin can switch it on for the organisation. On every plan, the organisation's setting applies to files in that organisation, and your personal setting applies to your personal workspace.
(f) By opting in, you confirm that you have the rights and permissions needed for us to use the relevant files for training. This includes client or third-party artwork. If you do not have those permissions, do not opt in, or upload such files only while consent is switched off.
6.4 Our models. Our models were trained before Endorr existed, only on Drukbaas B.V.'s own data. This included older material from Drukbaas customers, provided with their permission. No Endorr customer or account data has ever been used to train our models. Content uploaded to Endorr is used for training only if you opt in (section 6.3). The models, and any improvements to them, belong to Endorr.
6.5 Outputs. As between you and Endorr, you own the Outputs to the extent the law allows. Because AI outputs are generated automatically, they may contain errors. For example, an upscale may add or soften detail, a background removal may cut away part of the design, or an automatic fix may change colours or sizes. Outputs may not be unique, and they may not be protected by copyright. You must check every Output before you rely on it (see section 7).
7. Proofing and print responsibility
Summary: You approve the final file. Endorr is not responsible for print results.
7.1 Endorr helps prepare files, but you are responsible for final proofing and approval before anything is printed or produced. This includes checking dimensions, bleed, colour, resolution, transparency, text, spelling and the result of any automatic fix or AI processing against the requirements of your printer or production process.
7.2 Preflight reports, utilisation figures, cost estimates, mockups and previews are aids. They do not guarantee a print result. Mockups are illustrations, not colour-accurate proofs.
8. Acceptable use
Summary: Follow our Acceptable Use Policy. No illegal or harmful content, ever.
8.1 You must comply with the AUP. It applies to all files (private, temporary and shared), to share links and to everything you make with our AI tools. In short, you must not use the Services for:
- child sexual abuse material (zero tolerance, see 8.2);
- terrorist or violent extremist content;
- instructions for making drugs, weapons or explosives;
- non-consensual intimate imagery, including AI-altered images of real people;
- hate, threats or harassment;
- malware or phishing;
- intellectual property infringement, including counterfeit merchandise;
- counterfeit money, ID documents, tickets or other forged documents;
- fraud; or
- anything else illegal.
You also must not misuse share links as a public hosting or distribution service, scrape the Services, get around limits, or reverse engineer our models.
8.2 Child sexual abuse material. If we become aware of apparent child sexual abuse material, we will immediately disable access to it and suspend the account. We will preserve the material for a limited period, report it as described in section 9.5(b), and permanently close the account without notice and without the option to export files.
9. Content moderation, reporting and appeals
Summary: We can remove content and restrict accounts that break the rules. We explain our decisions, and you can appeal.
9.1 Our moderation rights. To enforce these Terms and the AUP, and to comply with the law, we may:
(a) review content that has been reported to us, flagged by automated tools, or is otherwise the subject of a specific investigation;
(b) use automated tools, such as comparing file fingerprints ("hashes") against lists of known illegal material, malware scanning and abuse-pattern detection, as described in AUP section 6;
(c) remove, disable access to, or quarantine content, and disable share links;
(d) restrict features, or suspend or close accounts and organisations (see section 18); and
(e) preserve content and related data, and report it to authorities (see section 9.5 and AUP sections 11–12).
We do not routinely review private files by hand. We have no general obligation to monitor content, and doing so voluntarily does not make us responsible for your content.
9.2 Reporting. Anyone can report content they believe is illegal or breaks the AUP, using the "Report" button on files and share links, our reporting form (https://endorr.com/report) or abuse@endorr.com. AUP section 8 explains what a report should contain. You don't need to give a name or email for reports of child sexual abuse material. We confirm receipt, decide diligently, objectively and in a timely way, and tell the person who reported what we decided.
9.3 Statement of reasons. If we remove or restrict your content, or suspend or close your account, we will send you a clear and specific statement of reasons, unless the law or an authority prevents it. It will say what we did, why, on what legal or contractual ground, whether automated means were used, and how you can challenge the decision.
9.4 Appeals. You can appeal a moderation decision free of charge within 6 months of it, by replying to our email or through our appeal form (https://endorr.com/appeal). A person not involved in the original decision reviews the appeal. If we got it wrong, we restore your content or account without undue delay. You can also use a certified out-of-court dispute settlement body or go to court.
9.5 Cooperation with authorities.
(a) If we become aware of information giving rise to a suspicion of a criminal offence involving a threat to someone's life or safety, we will promptly inform the competent law enforcement or judicial authorities and share the relevant information we have.
(b) We report apparent child sexual abuse material to Offlimits (Meldpunt Kinderporno, the Dutch hotline) and to the Dutch police. For material stored in our US region, we also report to the US National Center for Missing & Exploited Children (NCMEC). We confirm suspected material only to the minimum extent needed and document that step. We do not actively search for such material beyond the measures in section 9.1(b).
(c) We comply with valid orders from courts and authorities. This includes terrorist-content removal orders, which we execute within one hour, and orders from the Dutch ATKM concerning child sexual abuse material, currently within 12 hours.
(d) We disclose your data to authorities only where the law requires or allows it, and we notify you unless that is prohibited or would put someone at risk.
9.5A Liability for moderation. As a hosting service, we are not liable for content you or others store using the Services where the conditions of Article 6 of the EU Digital Services Act are met. For business customers, section 21.2 applies to actions we take under this section 9. For consumers, there is no special exclusion of liability for moderation actions; your statutory rights apply, and you can challenge our decisions as described in section 9.4.
9.6 Repeat infringers. We close the accounts of users who repeatedly upload or share infringing or illegal content, as described in AUP section 13: three valid notices or violations within 12 months.
9.7 Abuse of the reporting system. After a warning, we may stop processing reports or appeals from people who frequently submit manifestly unfounded ones.
10. Plans, billing and renewal
Summary: Monthly plans renew automatically until you cancel. Prices are shown before you pay.
10.1 Plans. We offer a free plan (Studio Free) and paid plans. Plan contents, prices, storage, seats and monthly token allowances are shown on our pricing page (https://endorr.com/pricing) at the time you buy.
10.2 Payment. Payments, VAT and invoicing are handled by our payment provider, Mollie. Prices are shown in euros (EUR) or US dollars (USD), based on the location we detect for you or your billing country. Prices shown to consumers include VAT. Business customers pay applicable VAT on top of the listed price, or reverse-charge applies where relevant.
10.3 Automatic renewal. Paid plans renew every month until cancelled. By subscribing, you authorise us, through Mollie, to charge your payment method each month.
10.4 Upgrades and downgrades. An upgrade applies once payment is confirmed, and you pay the prorated difference for the rest of the billing period. A downgrade takes effect at the next billing date.
10.5 Seats. Seats you add are billed as shown at checkout. Seats you remove stay active until the end of the current billing period and are not charged after that. Seat fees already paid are not refunded, except where required by law (including section 12).
10.6 Failed payments. If a payment fails, we may retry it and notify you. If payment remains outstanding, we may move the organisation to Studio Free (see section 13.3) if the payment is still outstanding 14 days after our first reminder.
10.7 Price changes. We will tell you about price changes at least 30 days before they apply to your next renewal. You can cancel before the new price takes effect.
11. Tokens
Summary: Tokens pay for metered actions. Unused plan tokens roll over while your subscription is active and purchased tokens never expire. Business customers cannot get refunds for tokens. Consumers get a refund or credit for unused tokens in the cases in section 11.6.
11.1 What tokens are. Tokens are prepaid units used to pay for metered actions in the Services, for example an upscale, a file repair or a vectorisation. The token cost of each action is shown in the Services or on our pricing page before you use it.
11.2 Monthly plan tokens. Your plan adds a monthly token allowance to your organisation. Unused plan tokens roll over to the next month for as long as your subscription is active. If you move to a lower paid plan, your unused plan tokens stay available, and the new plan's allowance applies from the next billing period. If you cancel, or your subscription ends because of non-payment, unused plan tokens stay usable until the end of the paid period, and then lapse.
11.3 Purchased tokens and order of use. Tokens you buy in packs never expire while your organisation exists, including if you move to Studio Free. When you use tokens, plan tokens are used first, then purchased tokens.
11.3A When tokens lapse. Unused tokens, both plan tokens and purchased tokens, lapse when you delete the organisation (we warn you first). For business customers, unused tokens also lapse when we terminate the account under section 18. For consumers, section 11.6 applies when we end the contract or delete the account.
11.4 Shared pool. Tokens belong to the organisation and are shared by its members. Only owners and admins can buy tokens.
11.5 No cash value. Tokens have no cash value. They cannot be exchanged for money, transferred to another organisation or sold. For business customers, tokens are not refundable. If tokens are lost because of a technical error on our side, or in other exceptional cases, we may restore or credit tokens at our discretion. Contact support@endorr.com.
11.6 Consumers: refunds or credit for unused tokens. If you are a consumer, we refund the unused portion of your tokens, or credit it to you if you continue to use Endorr, if:
(a) we end the contract without cause (section 18.3);
(b) we discontinue a product or Service for which you bought the tokens (section 19.3); or
(c) we delete your account or organisation on our own initiative, including inactive-account closure (section 18.4).
The refund is calculated pro rata from the price you paid for the tokens. This is in addition to your right of withdrawal (section 12) and your statutory remedies if the Services do not conform to the contract (section 20.2), which are not affected.
11.7 PrintReadySheets tokens. The 35 monthly tokens previously included with the PrintReadySheets add-on are discontinued after 1 November 2026. Existing subscribers are notified by email.
12. Consumer right of withdrawal
Summary: Consumers can withdraw within 14 days, even after they have started using the Services. If you asked us to start straight away, you pay for what you used.
12.1 This section applies only to consumers.
12.2 14-day right. You can withdraw from a paid subscription or a token purchase within 14 days of the day the contract was concluded, without giving a reason. Subscriptions and tokens are digital services.
12.2A How to withdraw. The easiest way is the prominently displayed "Withdraw from contract here" function in Endorr Studio (Settings → Billing) and in your order-confirmation email. You enter or confirm your details and the contract you want to withdraw from, and then confirm with a second button ("Confirm withdrawal"). We send you an acknowledgement of receipt, with the date and time, by email straight away. You can also send a clear statement to support@endorr.com, or use the EU model withdrawal form in Annex 1, but you don't have to use it.
12.3 Starting immediately. You keep your right of withdrawal for the full 14 days, even after you have started using the Services. If you expressly asked us to start the Services during the withdrawal period and then withdraw, you pay a proportionate amount for the service we provided up to the moment you told us you were withdrawing:
(a) Subscriptions: the part of the subscription price that corresponds to the part of the period that has passed;
(b) Token packs: the price of the tokens you have already used, calculated pro rata from the pack price. Unused tokens are refunded in full.
If you did not expressly ask us to start early, you do not pay anything when you withdraw.
12.4 Refunds after withdrawal. We refund amounts due within 14 days of receiving your withdrawal, using the same payment method, minus any proportionate amount under section 12.3.
13. Cancellation, downgrades and refunds
Summary: Cancel at any time. You keep access until the end of the paid period, and your files stay readable.
13.1 Cancelling. Owners and admins can cancel a paid plan at any time in Endorr Studio → Settings → Billing. Cancellation takes effect at the end of the current paid period.
13.2 Refunds. Apart from the consumer withdrawal right (section 12), cases where the law requires a refund, and section 19.3, fees already paid are not refunded.
13.3 After cancellation or non-payment. Your organisation moves to Studio Free. Everything you stored stays readable and downloadable. New permanent uploads are paused until your storage is back under the Studio Free limit (currently 10 GB). We do not delete files because of a downgrade. Section 18.4 on inactive accounts still applies.
13.4 Cancelling a PrintReadySheets subscription. If a subscription is billed through a third party (for example a PrintReadySheets subscription through the Shopify App Store), you must cancel it there. Endorr Studio shows where each subscription is managed.
14. PrintReadySheets add-on
Summary: PrintReadySheets is an add-on with its own price, operated by the same company for now.
14.1 PrintReadySheets is included in Studio Pro and is available as a paid add-on on other plans, including Studio Free. These Terms apply to PrintReadySheets when you use it through your Endorr account.
14.2 PrintReadySheets is currently operated by Drukbaas B.V. and may move to a separate company in the future. If it moves, we will tell you before the change and explain who your contracting party will be.
14.3 If you use PrintReadySheets through the Shopify App Store, the terms shown in the PrintReadySheets listing on the Shopify App Store and Shopify's billing terms also apply.
15. PixlPilot API
Summary: The API has extra terms.
15.1 Access to the PixlPilot API, including volume pricing, rate limits and support, is subject to the PixlPilot API Terms (https://endorr.com/api-terms) and, where applicable, an order form. FileFixxr and PixlPilot run on the same technology. There is no separate FileFixxr API.
15.2 If you integrate the PixlPilot API into your own product, you are responsible for your own users, for having the rights to the files you send, and for your own privacy notices. Where we process personal data for you through the API, the DPA applies.
16. Endorr Cloud for Windows
Summary: You can use our Windows app with your account. It updates itself.
16.1 We grant you a personal, non-exclusive, non-transferable, revocable licence to install and use the Endorr Cloud for Windows app and other Endorr software, only to access the Services under these Terms.
16.2 The app checks for updates and installs them automatically. Some updates may be required to keep using the Services.
16.3 The app syncs files between your computer and Endorr Cloud, so deleting a synced file on your computer may delete it in Endorr Cloud as well. Deleted synced files go to the Endorr Cloud Trash, where they are kept for 14 days and can be restored, and are then permanently deleted (section 18.6). The app sends crash reports and basic technical data (app version, operating system, sync status) to help us fix problems. It does not send file contents for this purpose.
16.4 Open-source components are licensed under their own licences, listed in the app under About → Open-source notices.
17. Privacy and data protection
Summary: Our Privacy Policy explains our data handling. Business customers can rely on our DPA.
17.1 Our Privacy Policy describes how we process personal data when we act as a controller.
17.2 When we provide the Services, we process personal data contained in Your Content as a processor on your behalf. For business customers, our DPA (https://endorr.com/dpa) governs this; the DPA forms part of these Terms for business customers automatically, and no separate signature is needed. We are a controller for account, billing, analytics and security data, and for AI training on content you opted in for (see the Privacy Policy).
18. Suspension, termination and your data
Summary: Either side can end the contract. You get a chance to export your files unless there is a serious breach.
18.1 By you. You can stop using the Services at any time and delete your account or organisation in Endorr Studio.
18.2 By us, for cause. We may suspend or terminate your access, in whole or in part, if:
(a) you seriously or repeatedly breach these Terms or the AUP;
(b) you upload, store, create or share child sexual abuse material, terrorist content, non-consensual intimate imagery, malware, counterfeit currency or identity documents, or other serious illegal content;
(c) you are a repeat infringer under section 9.6;
(d) you commit or attempt payment fraud, or get around limits, token metering or a previous suspension (for example by creating new accounts);
(e) we are required to by law or by an order of a court or authority;
(f) your use creates a real risk of harm to Endorr, other users or third parties, or of legal liability for Endorr; or
(g) you don't pay amounts due, after a reminder (see section 10.6).
For less serious breaches, we will warn you first where reasonable and lawful, and give you a chance to fix the problem. In the cases in (b), and where an authority requires it, we may act immediately and without warning. When we act, we will send you a statement of reasons (section 9.3), and you can appeal (section 9.4).
18.3 By us, without cause. We may end the contract by giving at least 30 days' notice. We will refund any prepaid subscription fees for the period after termination. Consumers also get a refund for unused tokens (section 11.6). For business customers, tokens are not refunded (section 11.5).
18.4 Inactive free accounts. We may close Studio Free accounts that have not been used for 12 months, after notifying you by email at least 30 days in advance.
18.5 Exporting your data. Before your account ends, unless we terminate for a serious breach (including the cases in section 18.2(b)) or the law prevents it, you can download your files. You can also ask us for an export of your data as a ZIP file by contacting support@endorr.com. We provide it within one month of your request.
18.6 Deletion. When you delete a file or folder, it goes to the Trash, where it is kept for 14 days so you can restore it. After 14 days, it is permanently deleted. When you delete an organisation or account, we remove it from our systems within 4 weeks of the deletion request. Our backups roll over within 4 weeks, so deleted data is also removed from backups within 4 weeks after permanent deletion. We may keep some data for longer where the law requires it, for example invoices, or where content and related data must be preserved as evidence (section 9.1(e) and AUP section 12). See the Privacy Policy.
19. Changes to these Terms and the Services
Summary: We'll give you notice of important changes.
19.1 We may update these Terms, for example to reflect changes in the Services or the law. For changes that materially affect you, we will notify you by email or in Endorr Studio at least 30 days before they take effect. Changes required by law or for security may take effect sooner.
19.2 If you do not agree to a change, you can cancel before it takes effect.
19.3 If you are a consumer, or if we discontinue a paid Service you are using, we will refund any prepaid subscription fees for the period after the change or discontinuation. For consumers, unused tokens are refunded or credited under section 11.6. For business customers, tokens are not refunded (section 11.5).
20. Warranties and disclaimers
Summary: We provide the Services with reasonable care. For businesses, we give no other guarantees.
20.1 We will provide the Services with reasonable care and skill.
20.2 Consumers have the statutory rights that apply to digital content and digital services, including the right to Services that conform to the contract. These Terms do not limit those rights.
20.3 For business customers, and to the extent permitted by law, the Services are provided "as is" and "as available". We give no other warranties, express or implied, including fitness for a particular purpose. In particular, we do not guarantee that any Output or preflight result will be free of errors or suitable for a particular printer or process.
21. Liability
Summary: For businesses, our liability is capped at 12 months of fees and excludes misprints, reprints and data loss. For consumers, no cap or shortened claim period applies.
21.1 Not limited. Nothing in these Terms limits or excludes liability for:
- death or personal injury caused by negligence;
- fraud;
- intent or gross negligence (opzet of grove schuld) of Endorr or its management; or
- any other liability that cannot be limited by law.
21.2 Business customers only. If you are a business customer, and to the extent permitted by law (subject always to section 21.1):
(a) Endorr is not liable for indirect or consequential loss, loss of profit, revenue, business or goodwill, loss of data (including data that could have been avoided by keeping backups), or misprint, reprint, material, production, shipping or delay costs, including costs caused by an Output or preflight result that you did not check before printing; and
(b) Endorr's total liability arising out of or in connection with these Terms is limited to the fees you paid to Endorr in the 12 months before the event giving rise to the claim, or EUR 100 if that is higher (for example for Studio Free users).
21.3 Consumers. If you are a consumer, sections 21.2 and 21.4 do not apply to you. There is no cap on our liability and no shortened period for making claims. Your mandatory statutory rights, including your rights if the Services do not conform to the contract, are not affected by these Terms.
21.4 Claims period (business customers only). Business customers must make claims in writing within 12 months of the event. This does not apply to claims based on our intent or gross negligence.
22. Indemnity (business customers only)
Summary: If a business customer's content gets us sued, the business covers it.
22.1 If you are a business customer, you will compensate Endorr for reasonable losses and costs resulting from a third-party claim that Your Content, or your use of the Services in breach of these Terms, infringes that third party's rights or breaks the law. This includes claims about client artwork you uploaded. We will tell you about the claim promptly and let you take part in its defence.
23. Governing law and disputes
Summary: Dutch law and Dutch courts. No arbitration. Consumers keep their local protections.
23.1 These Terms are governed by Dutch law. The UN Convention on Contracts for the International Sale of Goods (CISG) does not apply.
23.2 Business customers: disputes are submitted exclusively to the Rechtbank Rotterdam (Rotterdam District Court), the Netherlands.
23.3 Consumers: this choice of law does not take away protection you have under the mandatory law of the country where you live. You may bring proceedings in the courts of your country of residence.
23.4 No arbitration. We do not require arbitration, and nothing in these Terms waives your right to take part in collective actions where the law allows them.
23.5 Before starting proceedings, please contact us at legal@endorr.com so we can try to resolve the issue informally. This does not affect your right to go to court.
24. General
Summary: Standard contract terms.
24.1 Entire agreement. These Terms, together with the documents they refer to, are the entire agreement between you and Endorr about the Services.
24.2 Transfer. We may transfer this contract to another company in our group or to a successor, including the planned separate Endorr entity, if your rights are not reduced. We will notify you of such a transfer in advance. You may not transfer your rights without our written consent.
24.3 Severability. If a provision is invalid, the rest of these Terms remains in force, and the invalid provision is replaced by a valid one that comes as close as possible to its purpose.
24.4 Language. These Terms are written in English. A Dutch translation will be made available. Once published, the Dutch version prevails for consumers living in the Netherlands. For other consumers, if we provide a translation and the versions differ, the version more favourable to you applies. For business customers, the English version prevails.
24.5 Notices. We may send notices to the email address on your account or show them in Endorr Studio. You can send notices to legal@endorr.com.
24.6 Force majeure. We are not responsible for failures caused by events outside our reasonable control.
